Utopia Distribution Services Limited has filed paperwork with the High Court in London to appoint an administrator. UDS landlord DP World says it has acquired the assets of the company in a ‘pre-pack’ administration deal.

Complete Music Update’s Sam Taylor reported on the collapse of UDS and Utopia Accelerate (UK) Limited—which is part of Utopia’s royalty advance business. That business was put into administration on November 26. Sam Taylor obtained paperwork showing that Utopia Accelerate owes more than £1 million to a variety of creditors including its Swiss parent company.

UDS handled the distribution of a significant percentage of major labels’ physical music products sold in the UK—especially those from Universal Music and Sony Music. Sources speaking to CMU about the collapse of UDS say that Utopia believed it would be able to leverage existing relationships to sell its ‘tech’ services offerings to UMG and Sony Music. They believe Utopia was delusional about its ability to leverage those relationships with an “unsophisticated understanding” of how distribution operates.

“Even after Utopia acquired UDS the company struggled to break even, relying on huge injections of cash month after month to pay staff and pay warehousing costs to ‘partner’ DP World,” Complete Music Update’s Sam Taylor reports. “With Utopia’s Swiss entity having been forced into bankruptcy…any ongoing financial support for UDS from Switzerland has now stopped. CMU understands that at the point it went into administration, UDS owed what various sources have termed ‘enormous sums’ to DP World.”

With Utopia’s bankruptcy in Switzerland, UDS simply no longer had the cash injections it needed to maintain itself. CMU reports that UDS may owe as much as £3.5 million ($4.41M) to DP World. Sources confirm that major labels showed no interest in acquiring UDS and that acquiring the distribution business may not pass regulatory scrutiny. DP World kicked off its distribution partnership with Utopia Music in August 2023.

DP World told CMU, “We are pleased to confirm that we are taking on responsibility for full day-to-day operation of our state-of-the-art distribution center at Bicester, following our recent purchase of the business and assets of Utopia Distribution Services out of administration. We look forward to working closely with our entertainment partners in this expanded role.”
